By purchasing online you are agreeing to these terms and conditions.

We may modify these terms and conditions at any time by publishing the revisions on the website.

Please note that payment is required before access credentials to the self-paced eLearning is sent via email.

Definitions

  1. “RPS” shall mean Nautilus Ltd. RPS Group Inc. and RPS Energy Canada Ltd., its subcontractors, its and their affiliates and its and their respective directors, officers and employees (including agency personnel) but shall not include the participant.

1) Personal Information

The personal information disclosed will be used by RPS for the purposes of administering the Course and contacting you in connection with the Course and other courses that RPS may offer from time to time. RPS will not disclose your personal information to any third party unless authorized by you or required by applicable law. By accepting these terms and conditions, you consent to the collection, use and disclosure of your personal information by RPS.

2) Grant of Licence

In consideration of your payment, we hereby grant you a licence to use the purchased self-paced eLearning course(s) (“the Course(s)”). This licence is limited, revocable, non-exclusive, non-sublicensable and non-transferable, and is subject to the rights and obligations granted under these Terms.

This licence is personal to you and cannot be shared or exchanged with others.

3) General

RPS develop, distribute and maintain the Course(s) and will also provide you with log in details. We will also manage your access to the Course(s) and provide support to you, where necessary.

You shall not copy, modify, transmit, distribute or in any way exploit the Course(s) or any other copyrighted materials provided other than for your persona training. Any other purpose is expressly prohibited under these terms. You shall also not permit anyone else to copy, use, modify, transmit, distribute or in any way exploit the Course(s) or any other copyrighted materials.

We provide the materials ‘as is’ and without any warranties, whether express or implied, except those that cannot be excluded under statute. We also do not warrant that the materials will be error free, including technical inaccuracies.

4) Access to Course(s)

RPS will endeavour to allow uninterrupted access to your self-paced eLearning, but access to the Course(s) may be suspended or restricted at any time. We reserve the right to change, modify, substitute or remove without notice any information in the material from time to time.

Single Course Purchases:  You will have access to the courses you have purchased for 365 days from date of purchase.

Upon successful payment, you will receive Product access registration instructions.

5) Course Completion and Certificates

RPS’ self-paced eLearning courses are web-based, interactive and SCORM compliant. Course(s) are made up of a number of modules with each module carrying a quiz designed to reinforce the students learning but no formal assessments of knowledge gained are provided. A course certificate of participation is accessible on course completion.

6) Pricing and Payment

Payment Card Industry Data Security Standard (PCI DSS) Compliant.

Online bookings have the choice of paying immediately by credit/debit card, or requesting an invoice for all other payment methods.

Your registration remains provisional until payment has been received in full. For invoiced registrations payment is due upon receipt of the invoice and payable in the specified currency and payment term.

You agree to provide payment for the Course(s) in the stipulated currency and you will be liable to pay any relevant conversion charges. Please note that we must receive your payment in full before providing you with access to the Course(s).

All payments due under the contract shall be made without setoff, withholding or counterclaim, in the currency stated. All course fees are exclusive of any sales tax, value added tax (VAT), GST or other applicable sales or withholding tax and will be added if applicable at the prevailing rate at the time of invoice or checkout.

Your payment includes the licensing of the Course(s) for a period of 365 days from point of purchase. RPS is  unable to provide a refund if you fail to complete the content within the allocated time, except at our absolute and sole discretion.

RPS reserves the right to review and change the pricing of any of our Course(s). This will not affect Course(s) that have already been purchased.

7) Intellectual Property/Copyright

All rights, title and interest in intellectual property rights relating to the Course(s) including copyright, patents, trademarks, trade secrets, improvements, developments, proprietary information, know-how, processes, methods, business plans or models (including computer software and preparatory and design materials thereof) and all other intellectual property (whether registered or not) developed or created from time to time shall exclusively be owned RPS. While you may utilise the intellectual property, you understand that there shall be no transfer of ownership of the same.

Nothing that you see or read in the Course(s) may be copied, reproduced, modified, distributed, transmitted, republished, displayed or performed for commercial use.

All other trademarks, service marks and trade names in this material are the marks of the respective owners and any unauthorised use is prohibited.

8) Cancellation Policy

Where Course(s) are delivered to you immediately, you will not have the right to change your mind. In other cases, you may change your mind within fourteen (14) days of purchase, so long as materials have not been provided to you, downloaded, streamed or otherwise accessed. If you do wish to cancel, please contact us via email.

It is your responsibility to ensure that you meet the system requirements, including compatible hardware, software, telecommunications equipment and Internet service, prior to purchasing any content. We are unable to provide refunds where your access to the Course(s) is inhibited due to insufficient system requirements.

We may restrict your access to the Course(s) if you breach these terms, including without limitation:

  1. A failure to make any payment; or
  2. Failure to provide accurate information that is necessary for us to provide the Course(s) to you

In these circumstances, we will inform you in writing with seven (7) days’ notice that your access to the Course(s) will be restricted.

9) Exclusions of Liability

RPS will use reasonable endeavours to ensure that the data in the Product is accurate and to correct any errors or omissions as soon as practicable after being notified of them. To the extent permitted by applicable law, we disclaim all warranties and representations (whether express or implied) as to the accuracy of any information contained in the Course(s). We do not guarantee that the material will be fault free and do not accept liability for any errors or omissions.

RPS do not give any warranty that the website is free from viruses or anything else, which may have a harmful effect on any technology. RPS makes no representation whatsoever regarding the content of any other websites, which you may access from the Course(s). A link to a non-RPS website does not mean that RPS endorses or accepts any responsibility for the content or use of such websites.

10) Force Majeure

Neither party shall be liable for delay in performing or failure to perform obligations if the delay or failure results from a Force Majeure Event. Such delay or failure shall not constitute a breach of these terms and the time for performance shall be extended by a period equivalent to that during which performance was prevented, however, this provision shall not apply to any obligation to make payments of money when due.

For this purpose a “Force Majeure Event” shall mean any of the following:

  1. acts of God; outbreak of hostilities, riot, civil disturbance, acts of terrorism, blockade; the act of a government or authority (including refusal or revocation of any license or consent); quarantine, epidemic; fire, explosion, flood, fog or bad weather; power failure, failure of telecommunication lines, failure or breakdown of plant, machinery, computers or vehicles; strike, lockout or industrial action at national level; any cause or circumstance whatsoever beyond either party’s reasonable control.

11) Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales.
